Terms and Conditions

1. Our Services

Civic Frame provides, among others, the following categories of services, the exact scope of which will be set out in a written proposal, service agreement, statement of work, or invoice ('Order') agreed with the Client:

• Media relations, public relations, crisis management and reputation communications
• Digital strategy, search engine optimisation, and data-driven digital campaigns
• Content marketing, influencer partnerships, and event PR
• Organic reach growth, page/account management, and social media consultancy
• Web, frontend, and mobile application development, UI/UX design, and business analysis
• Assistance with disabled, suspended, hacked, or compromised social media accounts and pages
• Assistance with monetisation issues, account/page verification requests, disabled advertising accounts, and copyright-claim disputes on third-party platforms
• Programmatic advertising, ad-serving, campaign management, audience targeting, tracking and measurement services delivered through Our proprietary or partner AdTech platform (the 'Platform')

Platform-Dependent Services Disclaimer: Services relating to account recovery, verification, monetisation, ad-account reinstatement, or copyright-claim resolution are provided on a best-efforts advisory and facilitation basis only. These outcomes are determined solely by third-party platforms (including but not limited to Meta, Google, TikTok, YouTube, and X) in accordance with their own policies. Civic Frame is an independent agency, is not affiliated with, endorsed by, or acting as an agent of any such platform, and CANNOT guarantee any specific outcome, timeline, reinstatement, verification, or removal of a strike, claim, or restriction. Any representation of likely success made during a sales conversation is an estimate based on past experience and not a guarantee.

2. Eligibility and Client Accounts

You must be at least 18 years of age, and if You are entering into these Terms on behalf of a company or other legal entity, You represent that You have the authority to bind that entity. Where any registration, dashboard, or Platform account is created for You, You are responsible for maintaining the confidentiality of Your login credentials and for all activities that occur under Your account. You must notify Us immediately at civicframe01@gmail.com of any unauthorised use or suspected security breach.

3. Client Responsibilities

• Provide accurate, complete, and lawful information, brand assets, access credentials, and approvals required for Us to perform the Services;
• Ensure that all content, trademarks, testimonials, and materials supplied to Us for use in campaigns are owned by or properly licensed to You and do not infringe any third-party rights;
• Comply with the terms of service, community standards, and advertising policies of any third-party platform (e.g., Meta, Google, TikTok) on which Services are executed;
• Respond to Our requests for approvals, feedback, or access within a reasonable time, as delays may affect project timelines;
• Make payments in accordance with the agreed Order and Our Payment Security Policy.

4. AdTech Platform Terms

Where Civic Frame provides advertising technology services — including ad serving, demand/supply-side integrations, audience segmentation, bidding, tracking pixels, conversion measurement, or reporting dashboards — the following additional terms apply:

• Advertisers and publishers using the Platform must not generate, encourage, or knowingly benefit from invalid traffic, click fraud, bot traffic, incentivised clicks, or any other form of ad fraud.
• Campaign budgets, once allocated and spent against impressions, clicks, or conversions delivered by ad exchanges, ad networks, or publisher inventory, are non-recoverable, as such spend is remitted to third-party media owners and is outside Our control.
• The Platform will process data (including device identifiers, cookies, and IP-derived data) strictly for campaign delivery, measurement, fraud prevention, and reporting purposes, as further described in Our Privacy Policy and Cookies Policy.
• Civic Frame does not guarantee specific impression volumes, click-through rates, conversion rates, return on ad spend, or approval by any ad exchange, publisher, or platform, all of which depend on factors outside Our control including market conditions, auction dynamics, and third-party policies.
• Clients using the Platform for their own campaigns are solely responsible for the legality, accuracy, and appropriateness of their advertising creatives, landing pages, and targeting parameters, and for compliance with applicable advertising, consumer-protection, and data-protection laws in the markets they target.

5. Fees, Invoicing and Payment

Fees for Services are set out in the applicable Order and are payable in accordance with Our Payment Security Policy. Unless otherwise agreed in writing, Civic Frame requires an advance payment before work commences, with the balance payable per agreed milestones. All fees are exclusive of applicable government taxes, VAT, and third-party media/ad spend costs unless expressly stated otherwise.

6. Intellectual Property

All strategies, creative concepts, software, dashboards, reports, designs, and other deliverables developed by Civic Frame remain Our intellectual property until full payment is received, at which point ownership of final, client-specific deliverables (excluding Our underlying tools, templates, code libraries, and the AdTech Platform itself) transfers to the Client as agreed in the Order. Civic Frame retains the right to showcase completed work in its portfolio, website, and marketing materials unless the Client requests confidentiality in writing.

You grant Civic Frame a non-exclusive, royalty-free licence to use, reproduce, and display any content, trademarks, or materials You provide, solely for the purpose of performing the Services.

7. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with the Services, and to use such information solely for the purpose of fulfilling obligations under these Terms, except where disclosure is required by law.

8. Third-Party Platforms and Tools

Our Services may involve the use of third-party platforms, advertising networks, analytics tools, and payment processors. Civic Frame is not responsible for the availability, policies, security practices, or actions of such third parties, including account suspensions, policy changes, or service interruptions initiated by them.

9. Prohibited Uses

You agree not to use Our Services to: post or promote unlawful, defamatory, obscene, or infringing content; impersonate any person or entity; violate the intellectual property or privacy rights of others; engage in fraudulent, deceptive, or manipulative advertising practices; or interfere with the security or proper functioning of the Website or Platform.

10. Disclaimers and Limitation of Liability

THE WEBSITE, PLATFORM, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WHILE CIVIC FRAME USES COMMERCIALLY REASONABLE SKILL AND CARE, WE MAKE NO WARRANTY THAT THE SERVICES WILL ACHIEVE ANY SPECIFIC MARKETING, PR, REACH, MONETISATION, RECOVERY, VERIFICATION, OR ADVERTISING RESULT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIVIC FRAME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM THE USE OF OUR SERVICES OR ANY THIRD-PARTY PLATFORM ACTION (INCLUDING ACCOUNT SUSPENSION, BAN, OR AD DISAPPROVAL). OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT TO CIVIC FRAME FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Civic Frame, its directors, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of Your breach of these Terms, Your content or instructions, or Your violation of any applicable law or third-party right.

12. Termination

Either party may terminate an ongoing engagement by giving written notice as specified in the applicable Order. Civic Frame reserves the right to suspend or terminate Services immediately, without refund of work already performed, in the event of non-payment, unlawful use of the Services, or breach of these Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

14. Changes to These Terms

Civic Frame may revise these Terms from time to time to reflect changes in Our Services, legal requirements, or business practices. The updated Terms will be posted on Our Website with a revised 'Effective Date'. Continued use of Our Services after such changes constitutes acceptance of the revised Terms.
